Terms and Conditions.
These Standard Terms and Conditions establish the foundation for a successful working relationship between Synovate Marketing ("the Creative team") and you (the "Client"). These terms are an essential part of the agreement between Synovate Marketing and the Client.
Copyright and Ownership
Upon full payment of our invoices, all services provided and materials produced by Synovate Marketing on your behalf will become your property.
Synovate Marketing retains the right to:
Use work produced for the Client in its portfolio materials, both online and offline.
Add your firm to our client list.
Use your work in design competitions, publications, exhibitions, or other promotional purposes.
Any material or ideas submitted to you that you choose not to produce or for which you have not paid our invoices, within 60 days of submission, will remain Synovate Marketing's property. Such materials may be submitted to other clients for their use, provided they do not involve the release of any confidential information regarding your business or methods of operation.
Authority
Both the Client and Synovate Marketing represent that they have full power and authority to enter into this agreement, which is binding and enforceable according to its terms.
Entire Agreement
This agreement constitutes the entire agreement between the Client and Synovate Marketing and may only be changed or modified in writing with the approval of both parties.
Assignment
Neither the Client nor Synovate Marketing may assign or transfer their interest in this agreement without the written consent of the other.
Timelines
Schedules or time estimates are subject to change upon written notification by either party. Unless stated otherwise, each party shall provide two weeks' written notice.
Disbursements
In addition to our fees, you agree to pay Synovate Marketing or the provider directly for third-party charges incurred to complete the projects defined under Marketing Services. Third-party charges will be treated as disbursements and billed separately. Charges will appear as "Synovate Marketing" on your billing statement.
Fees & Alterations
Any revisions, additions, or alterations to the project that modify the terms of the agreement as the Services to be performed and are not included in any specified fee shall be billed as additional services.
Rushed or Prolonged Work
Any work required in advance of an agreed schedule, any shortening of the contract period, or additional fees and expenses incurred during a project due to Client delays or extensions shall be charged at an additional rate of 50% of Synovate Marketing's hourly rate.
Client Approval
The Client will appoint a single representative with full authority to provide necessary information required by Synovate Marketing and to provide approvals.
The Client must proofread and approve all elements of final designs. Corrections, if required, will be identified and submitted for Synovate Marketing to revise and resubmit for client approval.
Quality of Source Materials
Additional charges will apply when materials are submitted in a form that prevents them from being readily used and applied at recognized professional standards.
Production
When the Client assumes responsibility for production, printed proofs, copies, prototypes, and mock-ups must be approved by Synovate Marketing prior to use. Synovate Marketing shall be available during production for advice and approval of minor modifications (hourly rates will apply).
Graphic Design Payment Schedule
Unless noted otherwise, the Client's payment schedule is as follows:
30% deposit upon contract acceptance
70% balance due upon delivery of the final design
Website Payment Schedule
Unless noted otherwise, the Client's payment schedule is as follows:
30% deposit upon contract acceptance
30% on approval of Photoshop document of final design
30% on approval of HTML/CSS files of final website
10% balance due when the site goes live
Delayed Payments
Synovate Marketing's accounts are due and payable upon receipt. Interest will be charged on outstanding balances at a monthly rate of 5%, compounded monthly, if not paid within 30 days of receipt.
Design Credits
The Client agrees that Synovate Marketing is entitled to claim authorship of the design and will be credited on all published or manufactured work.
Samples and Copies
The Client may provide Synovate Marketing with samples or photographs of each printed or manufactured design. These samples will represent the highest quality of work produced.
Refund Policy
The Client can submit a refund request for unsatisfactory services within 7 days from the delivery date or receipt of the final product.
Termination
This agreement may be terminated in writing if either party commits a breach and fails to remedy it within 14 days of receiving written notification.
Indemnity
The Client warrants that all materials provided are owned by the Client or that the Client has all necessary rights to allow Synovate Marketing to use them for the project.
Applicable Law
This agreement and all terms and conditions will be governed by the laws of the United States of America.
